“Should I register GST as a proprietor, or first form a company?” The GST law itself treats all structures alike: the same turnover limits, the same returns, the same tax rates. What changes is everything around it: how quickly you can apply, which documents you need, who is liable, and how much yearly compliance you carry. Here is a side-by-side view for businesses starting in Gurugram.

When a proprietorship makes sense
- You are starting alone and want your GSTIN quickly.
- The business is small and you want minimal paperwork and cost.
- You do not need outside investors.
The trade-off: the business and you are the same person in law, so business debts and liabilities are personal. A proprietorship cannot have partners or shareholders; to bring someone in later you must change the structure, and that means a new GST registration under the new PAN.
When a partnership firm makes sense
- Two or more people are starting together and want a simple, low-cost structure.
- Trust between partners is high and liability is manageable.
A written partnership deed is essential. GST registration needs it, banks ask for it, and it settles profit sharing, capital and exit. Registering the firm with the Registrar of Firms is advisable, because an unregistered firm faces limits in enforcing contracts in court.
When an LLP makes sense
- Partners want limited liability without the full compliance of a company.
- Professional or service businesses where outside equity is not planned.
An LLP is a separate legal entity, so partners’ personal assets are protected, subject to law. It needs MCA filings every year, even with no business.
When a private limited company makes sense
- You plan to raise investment, give ESOPs, or scale quickly.
- Customers, marketplaces or large corporates prefer dealing with a company.
- You want the strongest separation between owners and the business.
It carries the highest compliance: statutory audit, board meetings and annual MCA filings. GST registration can be applied for along with incorporation.
Things to decide before you register GST
- Who will run the business, and will that change soon? Changing structure later means a new PAN and a new GSTIN, and stock and credits must be transferred.
- Where will you operate from? Every structure needs address proof for the principal place of business. See which address you can use.
- Will you sell online or across states? Registration may be compulsory from the start, whatever the turnover. See GST for e-commerce sellers.
